Terms of Use (“Terms”)

Please read these Terms of Use (“Terms”) carefully before accessing or using www.ctledu.org (“CTLEDU”) operated by CTLEDU Learning Platform, Inc. (“we”, “Company”). Your access to and use of CTLEDU is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use CTLEDU. By accessing or using CTLEDU You agree to be bound by these Terms. If You disagree with any part of the terms then You may not access CTLEDU. 

We may revise these Terms from time to time. When we do, we will display the most current version and revising the date at the top of this page. If we make any material change to these Terms, we will provide notice to You, such as by sending You an email or displaying a prominent notice on CTLEDU. By continuing to use CTLEDU after any changes come into effect, You agree to the revised Terms. If You do not wish to accept the revised Terms, You can stop using CTLEDU.

CTLEDU General Description

CTLEDU is an online platform for users to set up online program, teaching session, webinar, meeting or simply share knowledge (“session”). You may apply to set up Your sessions (“organizer”) at Your convenient date and time.  We will approve Your session set up, provide You with session invite link that You could share with Your contacts, advertise or display on social media. We will review and approve each registration. You will click on the invite link to start Your session. We will record all sessions and You will have access to the recording for a limited time after the session. 

We provide other value-added optional services and products to assist You to utilize CTLEDU for Your personal or business use.   

Age Requirements

You must be at least 18 years old to become a registered user of CTLEDU. If You are under 18, You must access or use CTLEDU with Your parent or guardian permission, who have read and agreed to these Terms.  We reserve the rights to review and approve Your additional eligibility requirements to register for a particular session. 

User Registration with CTLEDU

To register with CTLEDU and create a User Account, a User may register on-site, by filling in certain personal details (name and e-mail address); a User is then required to confirm registration by clicking on an activation link which is sent to the User at the email provided, for verification purposes.

Upon registering to CTLEDU, a registered User creates: 

– a User Account, including the above mandatory professional personal data and ii) a User Profile where each registered User can provide any personal data it wishes to voluntarily provide. More specifically:

“User Account”: is only used by CTLEDU for internal purposes (relationship between the User and CTLEDU)—User Account data is not visible to other Users and is not transferred to any third party.

-“User Profile”: is the profile that the User wishes to have in the Platform, which may be visible to other Users. Each User can decide what information to include in the User Profile and the extent such information will be visible to the public and other Users. However, note that for some actions it might be necessary to make the User Profile visible to other Users and reveal some User Profile data depending on the nature of the Content uploaded by the User (for example data necessary for Content reliability and attribution purposes).

Where a Registered User is a legal entity, the natural person that opens the User Account on behalf of such Registered User warrants that he/she has the legal capacity and power to (i) act on behalf of and to represent the specific legal entity/Registered User, (ii) proceed with the registration of the User to CTLEDU and the creation of the User Account and the User Profile, (iii) accept these Terms (including but not limited the warranties, declarations and assignments undertaken from time to time by the Registered Users) and (iv) provide orders (such as indicative purchase orders) and to make payments to CTLEDU on behalf of and in the name of the registered legal entity.

Where a Registered User is a legal entity represented by another legal entity (i.e. a Marketing Agent or other agent—the “Agent”), the Agent acting through the natural person that creates the User Account and the User Profile on behalf of the Registered User-legal entity provides the same warranties and representations as above. The same warranties and representations apply in case an Agent acts on behalf of diverse legal entities and/or professionals through its (the Agent’s) Account.

In both instances above, the legal entity registered as a Registered User and/or Client shall be responsible and liable towards these Terms.

Users understand and acknowledge that they should provide CTLEDU only with data and information that is true, accurate and updated, as well as lawfully acquired and to keep this data and information accurate, true and updated at all times (and make any changes/updates necessary by using the appropriate settings in their User Account and/or User Profile). CTLEDU does not necessarily audit nor verify any of the data provided. However, CTLEDU reserves the right (but is under no obligation) to ask for more information from the Registered User and/or to seek clarifications regarding specific information and/or to refuse registration and/or to suspend or delete any User Account and Profile if any violation of the above comes to Company’s attention. In any event, Users agree to hold harmless and bear full responsibility for all damages accrued to the Company in case of violation of the above obligations. Other Users or third parties can submit a complaint with regard to untrue or fault third party data. Processing of User’s personal data is subject to the terms of Company’s Privacy Policy.

CTLEDU reserves the right to refuse to open a User Account and/or to refuse any Content submitted by a Registered User, and/or to delete or suspend the User Account and the related User Profile if it comes to the attention of CTLEDU and/or if it is notified by a third party that the Registered User is not in compliant with these Terms and/or the User Account/Profile has fake or false or non-accurate data, at any time. Also, CTLEDU reserves the right to terminate the User Account as provided in these Terms.

Account name and Password:

When a User signs up on CTLEDU, his/her registered email shall automatically become the account name; the User can change it any time with another account name. This practically means that, to change his/her account name to CTLEDU, the User will also have to change the e-mail address or use another e-mail address. Τo complete the creation of the personal User Account, CTLEDU shall automatically generate a default password and send it to the email address of the User. The User shall then enter the User’s User Account by activating the default password. A User must then select a secret password. Users are advised to regularly change the password for security reasons; Users should also avoid using the same and/or easily detectable password(s) by introducing, where possible, not only letters and numbers, but also symbols in multiple combinations. In the event the User forgets the password, he/she may select the relevant “Forgot my Password” field and instructions will be sent to the User’s email in order to change the password. The account name and password shall identify uniquely each User on CTLEDU.

Each User Account and User Profile are personal and non-transferable. Each Registered User is responsible to retain the secrecy and non-disclosure of such Use’s password from third parties. The Platform also highly recommends that a Registered User not allow the access and use of its User Account and User Profile by any third party and not to share their secret password with anyone else.

Any act and/or omission through the User Account (including, but not limited to, the posting of Content, reviews, comments etc., the provision of information in the User Account, the submission of a takedown notice, the submission of a purchase and/or payment order etc.) shall be reasonably considered by CTLEDU as the act and/or omission of the Registered User, conducted with the Registered User’s prior approval and shall be binding on that Registered User. Each Registered User is solely responsible for the safety of his/her User Account and User Profile as well as for any loss or damage occurred to the User and/or to a third party and/or to CTLEDU from the use of that User Account up to the moment the User explicitly notifies us, at contact@CTLEDU.org, of any unauthorized access and/or use of his/her Account or any other breaches of security. This notification applies for any subsequent use. Company will not be liable for any acts or omissions by Users, including any damages of any kind incurred as a result of such acts or omissions and, where applicable, shall reasonably rely on the warranties and representations of the User referred in these Terms.

Deletion of a User Account:

If a Registered User wishes to delete the Registered User’s applicable User Account, such Registered User may e-mail CTLEDU at contact@CTLEDU.org with a request to delete the User Account. As soon as the User Account is deleted the associated User Profile will also be automatically deleted. Following such a request, CTLEDU will permanently delete the User Account, as well as any data contained in the User Account and in the User Profile and all Content the User has submitted to CTLEDU as a Registered User, within thirty (30) days from the submission of the User’s deletion request. 

A Registered User acknowledges that by submitting a request to delete the applicable User Account, CTLEDU will permanently delete the User’s data and Content hosted in CTLEDU as well as any other data hosted in the applicable User Account on behalf of the Registered User and that such User will no longer be able to retrieve such information. CTLEDU shall not be liable for any damages caused from this deletion of the data and Content.

If a User has purchased other services from CTLEDU, the deletion of the User Account might not allow the execution or the continuance of some services, if in order to receive those services it is necessary to have an active User Account. In this context, the purchase terms and conditions for the provision of additional service would apply as well, as provided in the purchase terms and conditions.

CTLEDU reserves without limitation the right to suspend and/or delete any User Account and User Profile according to the provisions of these Terms. 

Code of Conduct

No illegal Activity. Do not use CTLEDU for any illegal activity. You are not allowed to use CTLEDU to engage in any kind  of conduct that violates any applicable Law.

No Fraud. Fraud will not be tolerated in any capacity.

No Bad Code: Do not use CTLEDU to transmit, distribute, send, etc. viruses, worns, or any other code that may be deemed dangerous, harmful, or destructive in any manner.

No Spamming: Do not use CTLEDU to engage in any activities that will result in sending spam to anyone on CTLEDU. 

Be Civil: When You use CTLEDU, be civil and respectful at all times.

No Exploitation: You will not use CTLEDU to try to gather personal information on anyone, outside of the limited permissible uses for delivering Your session.

No Impersonation of CTLEDU or its Employees: You will not impersonate CTLEDU or any of its employees.

No Data Mining or Bots: You will not use any data mining, robots, or similar data gathering or extraction methods; and 

No Use Other Than Intended: You will not use CTLEDU or any content contained on CTLEDU for any purposes other than intended.

If You violate this Code of Conduct, CTLEDU reservie the right to remove You and any of Your Content from CTLEDU. Whether conduct violates CTLEDU Code of Conduct will be determined in CTLEDU’s sole discretion.

Intellectual Property and Your Content

We do not claim any intellectual property rights over the material you provide or uploaded to CTLEDU. All material You upload remains yours. You can remove your Content at any time by deleting your account. This will also remove all content you have stored on CTLEDU. You grant to Company and CTLEDU a perpetual, irrevocable, royalty-free license to use Your Content. Company’s and CTLEDU’s right to use Your Content survives the termination of these Terms.

Payment & Fees 

You may always use CTLEDU to share Your knowledge and join the classes at no cost to You. However when You charge the users to join Your class, webinar, teaching session, meeting or program on CTLEDU, then we will charge thirty percent (30%) of such fees (“operating cost”) towards administration and payment processing for and on Your behalf. There is no cost for You to teach or share Your knowledge for free, when You fix a fee for users to access Your sessions, we will bill the user and pay You the said fee minus operating cost. CTLEDU is not responsible for setting the pricing on Your session. Prices for Your session are set by You.  

When You register to attend any session and pay, all payments are final and non-refundable except in the following situations:

• Organizer cancels or not able to hold the session for whatever reason
• the sessions do not go live as scheduled due to force majeure event or certain event beyond control of organizer or CTLEDU

We collect payment from the session signor and issue payment to You online within 7 days after the session, provided You are still in compliance with these Terms.

CTLEDU allows You to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are solely responsible for the Content. You may allow users to create, edit, share, make content on their websites or apps. CTLEDU may contain services or products from other websites that we do not own, we will provide links to such sites for You review their terms of use before continuing to use CTLEDU. 

We have no control over, and assumes no responsibility for, the Content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.  

In running CTLEDU, we require that You understand and agree that CTLEDU is not liable for a number of things, including Your breach of these Terms and losses that may result from Your use of CTLEDU. CTLEDU require that You understand and agree that CTLEDU is offered As Is and may not always be 100% perfect or reliable and that CTLEDU doesn’t warrant or guarantee that it will always be free of errors or defects. Any claims for damages against CTLEDU will be limited to a portion of the fees You have paid CTLEDU.

Our limitations of liability are as follows

You agree that CTLEDU, including its employees, officers, directors, and agents, shall not be liable for any kind of loss, injury, claim, or damages resulting from Your use of CTLEDU.

You agree that CTLEDU shall not be liable for any injuries, losses, claims, or damages that result from Your use or engagement with third party content, downloads, or communications

CTLEDU is not liable for any losses or damage caused by any viruses, distributed denial of service attacks, and any and all other malicious computer code. Malicious computer code means computer code or other mechanisms of any kind designed to disrupt, disable or harm in any manner the operation of any software or hardware or other business processes or to misuse, gain unauthorized access to or misappropriate any business or personal information, including worms, bombs, backdoors, clocks, timers, or other disabling device code, or designs or routines that cause software or information to be erased, inoperable, or otherwise incapable of being used, either automatically or with passage of time or upon command

CTLEDU does not guarantee that any files available for downloading from CTLEDU will be completely free from viruses or other harmful computer code

CTLEDU is provided to You on an “As Is, As Available” basis. As such, You agree to have an external method of recovering any lost data that may be uploaded to CTLEDU. 

CTLEDU disclaims any warranties to CTLEDU and the content contained therein, including warranties for merchantability, fitness for a particular purpose, non-infringement, or title

CTLEDU shall not be liable for any special, direct, indirect, incidental, punitive, or consequential damages, resulting from the use of or inability to use CTLEDU

You agree that CTLEDU shall not be liable for any losses, injuries, claims, or damages from Your violation or breach of these Terms. You agree to indemnify, defend, and hold harmless CTLEDU, Company, its present and future officers, directors, employees, agents, licensors, suppliers, and any third party information providers to CTLEDU from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms by You or arising from or related to Your use or misuse of CTLEDU (including, without limitation, use in contravention of these Terms, other Company policies, and copyright and other intellectual property law)

You are solely responsible for ensuring that Your use of CTLEDU complies with applicable law and does not violate the rights of any third party, including, without limitation, intellectual property rights. You assume all liability for any claims, suits or grievances filed against You, including, but not limited to, all damages related to Your use of CTLEDU.

You may not assign Your rights under these Terms without CTLEDU’s prior written consent.

Should CTLEDU’s limitation of liability not be applicable, CTLEDU’s sole obligation to You, or any third party, for damages shall not exceed the amounts paid by You to Company or CTLEDU over the prior twelve (12) months directly preceding your claim, unless otherwise required by law.

You agree that CTLEDU shall not be liable for any content that appears on CTLEDU.

Except as set forth herein, nothing express or implied in these Terms is intended or implied to confer, and nothing herein shall confer, any rights, remedies, liabilities, or obligations whatsoever upon any person or entity.

You agree that any cause of action or claim that You may have against CTLEDU must be brought against us within one (1) year after the cause of action or claim arises. Should You not commence such cause of action or claim within this time period, it shall be barred

Remedies for Violations

CTLEDU reserves the right to seek all remedies available at law and in equity for violations of these Terms, including but not limited to removing You from CTLEDU, the right to block access to CTLEDU from a particular IP address or other user identifier, or to refer the violation to the appropriate law enforcement authorities.

Governing Law and Jurisdiction:

Dispute and Arbitration

These Terms shall be governed in accordance with the laws of Ontario, Canada without regard to its conflicts of laws principles. Any action arising out of or relating to these Terms shall be filed only in the courts located in the Province of Ontario, Canada. You consent and submit to the exclusive personal jurisdiction of such courts for the purpose of litigating any such action.

Any dispute, controversy, proceeding, or claim arising out of or in connection with or relating to these Terms, shall be resolved by binding confidential arbitration under the Arbitration Act, 1991.  

Miscellaneous

These Terms and the Company’s Privacy Policy shall bind all parties and constitute the entire agreement of the parties and prevail in any and all prior and existing contracts between the User and CTLEDU.

If individual terms of these Terms become partially or wholly invalid or unenforceable, the validity of the remaining provisions shall not be affected.

The Company’s failure to enforce any right or provisions of the Terms will not constitute a waiver of such or any other provision.

Users may not assign any of their rights under these Terms to any third party. CTLEDU reserves the right to assign its rights under the present to any other individual or entity at its sole discretion.

CTLEDU reserves the right, at its own discretion, to modify or replace any part of these Terms. It is the Users’ responsibility to check these Terms periodically for changes. The Users’ continued use of or access to CTLEDU following the posting of any changes to these Terms constitutes acceptance of those changes. CTLEDU may also, in the future offer new services and/or features through CTLEDU. Such new features and/or services shall be subject to these Terms.
